- Introduction
1.1 Welcome to VirtuAli the “Website”. These terms and conditions, the “Terms” govern your use of the Website and the services provided by VirtuAli, operated by Alicja Schramm-Dubiel, a sole trader based in Scotland. By accessing or using the Website, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, please do not use the Website.
1.2 Definitions
(a) Client – “Client”: Any person, company, or organisation that enters into an agreement with VirtuAli for the provision of recruitment and staffing services.
(b) Services – “Services”: The recruitment, placement, and supply of virtual assistant associates (“Associates”) to Clients by VirtuAli.
- Services
2.1 VirtuAli provides virtual assistant services (the “Services”) to clients, including but not limited to administrative support, customer service, and other related tasks. The specific scope of Services will be detailed in a separate service agreement between VirtuAli and the client.
- Use of the Website
3.1 You must be at least 18 years old to use our Services.
3.2 You agree to use the Website and Services only for lawful purposes and in accordance with these Terms.
3.3 You must not use the Website in any way that causes, or may cause, damage to the Website or impairment of the availability or accessibility of the Website.
- Client Responsibilities
4.1 The client agrees to provide accurate, complete, and up-to-date information as required for the provision of Services.
4.2 The client shall ensure that all materials provided to VirtuAli do not infringe the intellectual property rights of any third party.
4.3 The client is responsible for ensuring the confidentiality of their account information and for any activity that occurs under their account.
- Associate Responsibilities
5.1 Associates must provide accurate information in their applications, be available for work assignments as scheduled, and adhere to the procedures and policies set forth by VirtuAli.
- Equal Opportunities
6.1 VirtuAli is committed to providing equal opportunities for all candidates and clients, without discrimination based on race, gender, age, disability, or any other protected characteristic.
- Fees and Payment
7.1 The fees for Services shall be as agreed between VirtuAli and the client in the service agreement.
7.2 Payment terms, including invoicing and due dates, will be outlined in the service agreement.
7.3 Late payments may incur additional charges as specified in the service agreement.
- Confidentiality
8.1 VirtuAli will keep all information provided by clients and candidates confidential.
8.2 Both parties agree to keep confidential all information obtained from the other party that is marked as confidential or can reasonably be considered confidential.
8.3 Confidential information shall not be disclosed to any third party without the prior written consent of the other party, except as required by law.
- Intellectual Property
9.1 All intellectual property rights in materials created by VirtuAli in the course of providing the Services shall remain the property of VirtuAli unless otherwise agreed in writing.
9.2 The client grants VirtuAli a non-exclusive, royalty-free license to use any materials provided by the client for the purposes of providing the Services.
- Liability Limitations
10.1 VirtuAli’s total liability to the client for any claim arising out of or in connection with the provision of the Services shall be limited to the total fees paid by the client to VirtuAli in the three (3) months preceding the date the claim arose.
10.2 VirtuAli shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with the provision of the Services.
- Indemnification
11.1 The client agrees to indemnify, defend, and hold harmless VirtuAli, its employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses arising out of or in connection with the client’s use of the Services, breach of these Terms, or violation of any applicable law.
11.2 VirtuAli agrees to indemnify, defend, and hold harmless the client from and against any and all claims, liabilities, damages, losses, costs, and expenses arising out of or in connection with VirtuAli’s gross negligence or willful misconduct in providing the Services.
- Termination
12.1 Either party may terminate the service agreement within the agreed notice time period presented in writing to the other party.
12.2 VirtuAli may terminate or suspend the client’s access to the Website and Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if the client breaches these Terms.
- Governing Law
13.1 These Terms shall be governed by and construed in accordance with the laws of Scotland. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Scotland.
- Changes to Terms
14.1 VirtuAli reserves the right to modify these Terms at any time. Any changes will be posted on the Website and will become effective immediately upon posting. Your continued use of the Website and Services after any such changes constitutes your acceptance of the new Terms.
